Carlton Communications and Granada are under increasing pressure to settle with the Football League over ITV Digital.
League chiefs say that, if necessary, they will start proceedings against the parent companies of ITV Digital following talks between representatives from 24 First Division clubs and the league.
A statement from the League said it would launch a legal battle for the £179m (€292m) owed plus damages and costs, and the claims would be expected to be in the region of £500m (€817m).
The Board of the Football League want an assurance that the £89.25m (€145m) due to the League in August this year will be paid.
ITV Digital said in a statement: "We are pleased that the Football League has agreed to negotiate over the terms of its contract with ITV Digital.
"We look forward to dialogue with the League in order to find a workable solution for both sides."
