The two men were on a recreational dive on a submarine wreck, four miles south of Castlehaven, near Glandore in Co Cork.
The alarm was raised at 9:40am when they failed to resurface to the dive vessel.
One man was taken unconscious from the water and airlifted to Cork University Hospital by the Shannon coastguard helicopter, however efforts to resuscitate him failed.
The second diver is still missing.
